Example agent design

Contract Clause Review Agent for Law Firms

A contract clause review agent extracts the key clauses from an inbound draft, sets each beside the firm's or client's playbook position, and proposes redlines with a clause-level reason the responsible attorney accepts or rejects. This is a starting design. An AI Blueprint adapts it to your goals and the systems it will connect to.

It gives transactional groups a consistent first pass. The playbook and the clause library stay the firm's own, on a private server when client terms keep deal documents in the firm's network.

Owner
The responsible attorney on the matter
Reads
The inbound draft · The firm or client playbook · The clause library and prior executed agreements, within matter permissions
Never writes
Redlines sent to the other side, accepted or rejected changes, or final versions in the document system. Nothing reaches the client or the counterparty from the agent.
Typical cost
AI Blueprint $4,500–$7,500, credited toward the build. Typical first build $18,000–$35,000, or start local at $4,500–$9,500. Agent Operations after launch $2,500/mo for one production agent. See the first engagement

The workflow

First-pass review today and with the agent

Planning comparison only. Scope, timing, and outcomes vary by data, workflow, approvals, adoption, and implementation conditions.

First pass
TodayEach reviewer reads the draft against the playbook position by position.
With the agentEach key clause is extracted and set beside its playbook position.
Prior work
TodayPrior clauses and agreements are hard to find across matters.
With the agentThe clause library and prior executed agreements are searched within matter permissions.
Redlines
TodayDrafted clause by clause.
With the agentProposed with the playbook position and the reason for each change.
Attorney review
TodayThe attorney reviews the whole draft.
With the agentThe attorney accepts or rejects each proposed redline; nothing leaves the draft without that decision.

How it runs

Five steps from inbound draft to redline

An illustrative solution design, not a reported client result. The AI Blueprint maps it to the group's own playbooks and document system.

  1. 01

    Approve the playbook

The firm's or client's playbook positions become the rules the responsible attorney or practice group approves.

    Attorney review point

  2. 02

    Extract the key clauses

Reads the inbound draft and extracts the clauses the playbook covers.

  3. 03

    Compare to the playbook

Sets each clause beside its playbook position, with prior executed agreements as reference within matter permissions.

  4. 04

    Propose the redline

Drafts the redline with a clause-level reason, and flags clauses the playbook does not cover for the attorney.

  5. 05

    The attorney decides

The responsible attorney accepts or rejects each proposed redline. The agent never sends anything to the other side.

Systems

The systems it reads

Document system
Inbound drafts, the clause library, and prior executed agreements in iManage, NetDocuments, or Microsoft 365, within matter permissions.
Playbooks
The firm's or client's playbook positions, approved by the responsible attorney or practice group.

Technologies ITECS evaluates and integrates; listing a product does not imply a formal partnership. The AI Blueprint confirms which system holds the authoritative record.

Controls

Read-heavy and write-controlled by design

Read-heavy
Reads the systems listed above through access scoped to this workflow.
Write-controlled
Writes nothing listed under Never writes in the spec at the top of this page. Anything it drafts waits at the approval points below.
Approval points
The responsible attorney accepts or rejects every proposed redline before anything leaves the draft.
Audit trail
Each run keeps its inputs, sources, output, and the reviewer's decision.

In this design

  • Clauses the playbook does not cover are flagged for the attorney, never redlined on the agent's own judgment.
  • Retrieval inherits matter permissions and ethical walls from the source systems, and access is denied when a permission is unconfirmed.
  • It runs under no-training terms ITECS verifies before production, and privileged material stays inside the firm's tenant or on its own server.
  • Client guideline clauses that restrict AI use are tracked per client. Whether to seek a client's consent stays with the firm and its counsel.
  • ITECS does not provide legal advice through its agents, and no design promises an outcome. The agent drafts and flags; the firm's attorneys review the work and make every decision.

Deployment fit

Where this design can run

Private AI Servers
Runs on local models on a server inside your network, for deal documents, playbooks, and prior agreements that should not leave it. The same build ladder applies; server hardware is quoted after a sizing call.
Hosted AI Agents
Runs in a governed Linux environment ITECS operates, on frontier models through enterprise API agreements, connected to the document system and the firm's playbooks through controlled integrations, with human review and an audit trail.
Local AI Agents
A Local variant runs one attorney's own playbook in their Claude, Codex, or Copilot workspace, over drafts that attorney already has. The shared, group-wide playbook runs on a private server or hosted.

FAQ

Contract Clause Review Agent FAQ

Does the agent negotiate or send redlines?

No. It proposes redlines inside the draft with a reason for each. The responsible attorney accepts or rejects them, and the firm sends what it approves.

Whose playbook does it apply?

The firm's or the client's, as the responsible attorney or practice group approves it. The AI Blueprint records which playbook governs which matters.

Why does this design start on a private server?

Deal documents, playbooks, and prior agreements are confidential, and client terms can restrict outside AI processing. A private server keeps them inside the firm's network. The build ladder is the same; server hardware is quoted after a sizing call.

Can one attorney start on their own desktop?

Yes. A Local Agent Sprint builds one attorney's playbook agent in their own Claude, Codex, or Copilot workspace. When the group needs a shared playbook, multi-user access, or an audit trail, it moves to a private server or hosted build.

Is this legal advice?

No. ITECS does not provide legal advice through its agents. The agent applies rules the firm approved and drafts or flags for review; the firm's attorneys decide, and no design promises an outcome.
